Henry Wolfgang Carter is a consultant and a member of the Bipartisan California Commission on Internet Political Practices. Mr. Carter was Vice-President and Chief Compliance Officer for E*TRADE Securities, Inc., and then Assistant General Counsel and Vice-President for E*TRADE Group, Inc. ("E*TRADE"), and was responsible for compliance-related matters/issues involving corporate and securities laws and practices from both a domestic and international perspective. He is an expert on Internet strategies and frequently advises the Internet sector on issues of current and future opportunities. Mr. Carter received a Bachelor of Arts degree (cum laude) from Pepperdine University in 1985. He then served as a California State Senate Fellow in the California State Legislature during the 1985-1986 legislative session and attended Georgetown University Law Center where he received a J.D. in 1989. He is a member of the Bars of New York, Pennsylvania, the District of Columbia and the U.S. Supreme Court and possesses Series 7, 24 and 63 licenses. Mr. Carter is a frequent speaker in the United States and Europe on issues involving securities laws and the Internet. He has been a member of the National Association of Securities Dealers Regulation, Inc. (the "NASDR") District Business Conduct Committee for Northern California (District No. 1) and a member of the NASDR's E-Brokerage Committee and assisted in the drafting of the NASDR's "On-line Suitability" statement issued in 2001. He was a driving force for legislation in the California State Legislature, which permits the use of electronic signatures to establish customer account agreements (SB 1124) and was a member of the State of California Y2K Business Council in 1999. He is an active participant in TechNet and the New Democrat Network and has advised key members of Congress and the SEC on financial services and Internet issues. Mr. Carter is a member of the "Friends of Dresden, U.S.A." and "Freunde von Heidelberg."
